The share price in the Novaturas initial public offering set at EUR 10.5

The share price for investors in Poland amounts to PLN 44.13.  The Company’s capitalization according to the final share price in the IPO will reach EUR 82.0  million (approx. PLN 344.5 million).

  • The final price of the shares offered in the public offering of Novaturas, the largest tour operator in the Baltic countries, has been set at EUR 10.5 per share and its equivalent in PLN is 44.13.
  • Ultimately the offering will cover 2 104 648 shares, i.e. 27% of the Company’s existing shares, sold by some of its existing shareholders, including Central European Tour Operator S.a.r.l. (CETO), i.e. an entity owned by the Polish Enterprise Fund VI, managed by Enterprise Investors.
  • The total value of the offering will be EUR 22.1 million (approx. PLN 92.9 million), and the Company’s capitalization according to the final share price in the IPO will reach EUR 82.0  million (approx. PLN 344.5 million).
  • Retail investors will be allocated ultimately 121 902 shares, which accounts for 5.8% of the total number of shares on the offering. Subscriptions for retail investors will be reduced approximately by 40%.
  • The offering is taking place in Poland, Lithuania and Estonia. The Company’s shares are also offered to selected foreign institutional investors outside of the territory of the United States based on applicable regulations.
  • Novaturas shares will be floated on the Warsaw Stock Exchange and Nasdaq in Vilnius. The expected first day of listing on both stock exchanges is 21 March 2018.

Novaturas works with over 400 travel agencies, including all of the major agencies in the Baltics, and more than 60 in Belarus. It also operates retail offices of its own in main cities of Lithuania, Latvia and Estonia, and is investing in further development of its e-commerce channel.

The rising demand for the Group's tours drives growth in operational scale, which translates into dynamic growth in financial results. In 2017, Novaturas Group’s revenue increased by nearly 40% y/y to EUR 141 million. EBITDA reached EUR 10.6 million, while net profit reached almost EUR 8.2 million, which in both cases denotes a nearly two-fold increase comparing to 2016.

The Company’s asset-light business model, which is characterized by strong cash flows from operating activities (exceeding 100% of EBITDA) and low capital expenditures (EUR 0.3 million in 2017), allows it to pay out a large part of its earnings to shareholders. Paying regular dividends is one of the key elements of the Company's strategy. The Management Board expects that, based on the audited interim results of the Company for the first half of 2018, an interim dividend of about EUR 6 million will be offered for payment. In the long term, the Management Board expects to propose for distribution 70% – 80% of the Company’s net profit.
